Plain-language summary: Ticket4Life is a game — a lifetime, prize-linked digital collectible, not an investment. You interact with public smart contracts through a non-custodial website that never holds your funds. Prizes are funded by treasury yield and are never guaranteed. The buyback is a discretionary possibility, not a right. Crypto carries real risk: you may lose some or all of what you commit, or recover nothing at all. Only take part with money you can afford to lose, and only if it is legal where you are. If any of this is unacceptable to you, do not connect your wallet or mint a Ticket.

1. Acceptance of these Terms

By accessing or using the Interface, connecting a wallet, minting a Ticket, holding a Ticket, listing or buying a Ticket on the marketplace, selling a Ticket back to the Protocol, or otherwise interacting with the Protocol, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not connect a wallet, do not mint, and do not use the Interface.

These Terms incorporate by reference, and you also accept, the Ticket4Life Privacy Policy, Cookie Policy, Risk Disclosure Statement, and Legal Notice, together with any additional legal or on-chain notices published through the Interface. In the event of a conflict on a specific point, the more protective and more specific document governs that point. The on-chain smart contracts are the definitive record of the Protocol's mechanics and parameters; where a description in these Terms differs from the deployed contract behavior, the deployed contracts control.

When you mint a Ticket, you sign a gas-free EIP-712 message accepting the on-chain disclaimer: “I understand Ticket4Life is a lifetime lottery ticket. Prizes come from treasury yield, not my principal. Randomness is provided by Pyth Entropy. I accept the terms and the risks.” Signing that message is an additional, independent confirmation of your acceptance of these Terms and the associated risks.

You confirm that you have read and understood these Terms, that you are entering into them knowingly, and that you have made your own assessment of the mechanics and risks before taking part.

2. Definitions

Capitalized terms have the following meanings:

  • Interface — the Ticket4Life website, user interface, and related front-end software that lets you read from and submit transactions to the Protocol. The Interface is a frontend only and holds no assets.
  • Protocol — the set of public, on-chain smart contracts deployed on Base that implement Ticket4Life, including the Ticket NFT, Draw Registry, Prize Pool, Marketplace, Cooldown Registry, Treasury Vault, and Transparency Registry contracts.
  • Ticket — a transferable ERC-721 non-fungible token minted through the Protocol, which entitles the holder to automatic entry into every Draw for as long as it is held. A Ticket is a game entry and digital collectible; it is not a security, share, deposit, loan, fund unit, or e-money.
  • Draw — the recurring, randomness-based selection of winning Tickets, held every Sunday at approximately 20:00 UTC.
  • Pot — the pool of USDC allocated to prizes for a given Draw.
  • Yield — returns generated by the Treasury's deployment of capital into the strategies described in Section 9.
  • Treasury — the capital held and deployed by the Protocol (including mint proceeds and the Treasury Vault), used to generate Yield and to back the Buyback.
  • Buyback — the discretionary, conditional facility by which the Protocol may repurchase a Ticket, as described in Section 10.
  • Operator — the person or entity controlling the Protocol Safe (a multi-signature wallet that is the on-chain owner of the Prize Pool and related contracts and that manages the Treasury and configures Protocol parameters) and the automation key that executes routine, rate-limited operations on its behalf.
  • USDC — the USD Coin stablecoin used for mints, prizes, the Buyback, and marketplace settlement on Base.
  • Base — the Ethereum Layer-2 network operated by Coinbase on which the Protocol is deployed.

3. What Ticket4Life Is

Ticket4Life is a prize-linked, lifetime draw-ticket protocol on Base, presented as a game and digital collectible for entertainment purposes. The website is a non-custodial interface to a set of public smart contracts.

Ticket4Life is not a bank, broker, dealer, custodian, exchange, money-services business, payment institution, investment fund, collective investment scheme, or financial, investment, legal, or tax adviser. Ticket4Life does not offer securities, deposits, or e-money, and does not provide any regulated financial service. No fiduciary, advisory, agency, or trust relationship is created between you and Ticket4Life, the Operator, or any contributor by these Terms or by your use of the Protocol.

No legal entity, company, or jurisdictional base is claimed for Ticket4Life. References to “Ticket4Life,” “we,” “us,” or “the Protocol” are descriptive of the software and the persons who contribute to it, and do not imply any incorporated entity or any assumption of obligations beyond those expressly stated here.

4. Non-Custodial Nature

The Interface is a front-end only. Your assets are held by you (in your own wallet) and by public smart contracts. Ticket4Life never takes custody of your funds or your Tickets.

Because the Protocol is non-custodial and operates through public smart contracts, Ticket4Life cannot access, move, freeze, or seize your funds or your NFT; cannot reverse, cancel, or modify a transaction once submitted to the network; cannot recover lost, stolen, or compromised private keys, seed phrases, or wallets; and does not and cannot guarantee the availability, uptime, or continuity of the Interface.

If the Interface is unavailable for any reason, the underlying smart contracts remain publicly accessible. You can continue to interact with the Protocol directly through any compatible wallet or block explorer. The contract addresses are published in the Transparency Registry and are verifiable on BaseScan. You are responsible for understanding how to interact with the contracts safely if you choose to do so directly.

5. Eligibility & Geographic Restrictions

To use the Interface and the Protocol, you must be of legal age in your jurisdiction and legally permitted to use prize-linked and crypto-asset services. By using the Interface, you represent and warrant that you meet these requirements.

A country-level check runs in memory when the Interface loads and is not stored. The Interface is not available in Cuba, Iran, North Korea, Syria, Russia, or Belarus, nor in any jurisdiction where prize-linked or crypto products are prohibited or restricted, nor to any person subject to sanctions administered by OFAC, the United Nations, or the European Union, or otherwise listed on any applicable sanctions or restricted-party list.

You are solely responsible for determining whether your use of the Protocol is lawful where you are, and for complying with all laws that apply to you. The absence of a technical block for your location does not mean your use is permitted. Using a VPN, proxy, or any other method to circumvent geographic or eligibility restrictions is prohibited and is a breach of these Terms.

6. The Ticket / NFT

A Ticket is a transferable ERC-721 NFT, minted once and paid in USDC at a price set on-chain and shown to you at mint time (currently 250 USDC). Total supply is capped at 10,000 Tickets. Tickets are never burned.

Minting requires the gas-free EIP-712 signature described in Section 1. Holding a Ticket automatically enters it into every weekly Draw, forever, with no recurring fee and no action required from you. Holding more Tickets means proportionally more entries.

A Ticket confers only the right to participate in Draws and to use the Protocol's features as described in these Terms. A Ticket is not a share, equity interest, governance right, voting right, debt instrument, or claim on the Treasury or on any profits, revenues, or assets of Ticket4Life or the Operator. No dividend, interest, coupon, or yield accrues to you by virtue of holding a Ticket. Any value of a Ticket is uncertain and may be zero.

7. The Draw & Randomness

A Draw is held every Sunday at approximately 20:00 UTC. Randomness for each Draw is provided by Pyth Entropy and is verifiable on-chain, with the proof consisting of a sequence number and a random number. Winning Tickets are de-duplicated by Ticket (tokenId).

A Draw requires at least three distinct eligible Tickets and a funded Pot. If those conditions are not met, the Draw is deferred or marked unresolved and the Pot is preserved; the Draw never reverts and nothing is skipped. The timing, deferral, or non-resolution of any Draw does not create any entitlement, credit, or obligation beyond the preservation of the Pot for a future Draw.

You have no ability to influence, predict, or control the randomness, the odds, the selection of winners, or the outcome of any Draw. Participation is a game of chance. Past outcomes are not indicative of future outcomes, and no outcome is promised.

8. Prizes & Payouts

Each resolved Draw distributes the Pot among 13 winners: 50% to the first, 25% to the second, and 10% to the third, with the remaining 15% shared equally among the next ten winning Tickets.

Prizes are push-paid: USDC is sent directly to each winner's wallet within the Draw transaction. If a transfer cannot be delivered for any reason, the amount is credited to the winner as a claimable balance that can be redeemed through a one-click claim. Lifetime “Total Prize Won” is always credited to the winning Ticket.

Prize amounts depend on accrued Yield and Protocol parameters and are not fixed, promised, or guaranteed. The Pot for any given Draw may be small, and in periods of low or negative Yield may be limited or unavailable. Nothing in these Terms constitutes a promise of any prize, of any minimum prize, or of any return.

9. Yield Sources & Treasury

Prizes are funded by Yield generated from two sources: (a) automated grid-trading bots on Hyperliquid, the primary engine, trading markets such as ETH, HYPE, or BTC as deployed, paused, or planned from time to time (live status on the Yield Engine page); and (b) a stablecoin allocation held on third-party venues, which may include Aave, Rujira, Nexo, or others. Each week, the Yield is split 80% to the Pot and 20% to the Protocol.

Prizes come from Yield and are never funded by drawing down Treasury capital. However, the Treasury capital itself — including the proceeds of mints — is deployed into these Yield strategies and also backs the Buyback. These strategies carry market, liquidity, smart-contract, and counterparty risk. They may underperform, generate no Yield, or lose value, including a substantial or total loss of the deployed capital.

The composition of the Yield strategies, the venues used, and the parameters governing them may change at the Operator's discretion. You have no claim on the Treasury, on any Yield, or on the 20% retained by the Protocol.

10. Buyback & Cooldown

A holder may sell a Ticket back to the Protocol at the Backed Price, after a one-time 90-day cooldown per wallet, enforced by the Interface through the Cooldown Registry. The Backed Price is a variable price derived from Treasury solvency: it targets the payout ratio (currently 80%) of the Treasury value per minted Ticket, is hard-capped at that same ratio of the mint price (currently 200 USDC), and is periodically synchronized to the on-chain price. The on-chain `protocolBuyPrice` in the marketplace contract is at all times the only price actually paid; the live computation and gauge are published on the Yield Engine page.

The Buyback is funded from the Protocol Safe. It executes only if that wallet holds sufficient USDC and has authorized the payment. If the Treasury or Protocol wallet is insufficiently funded, the Buyback transaction fails and no redemption occurs.

The Buyback is discretionary and conditional. It can be closed, re-priced, suspended, or withdrawn by the Operator at any time, without notice. It is not a redemption right, a repurchase obligation, a put option, a guarantee, or a promise of any kind. Because the Backed Price follows Treasury solvency, it can decrease as well as increase: depending on Protocol parameters and Treasury value at the relevant time, you may recover up to 80% of the mint price, materially less than that, or nothing at all. You must not treat the Buyback as a reliable or guaranteed way to exit or to recover value.

11. Marketplace & Secondary Sales

The Interface offers an approval-based, non-custodial peer-to-peer marketplace. A listed Ticket remains in the seller's wallet and continues to enter Draws until it sells. Listings are settled in USDC at a price the seller chooses.

The Protocol fee on peer-to-peer sales is configured on-chain and hard-capped at 5% by the smart contract (MAX_FEE_BPS = 500); the current value is readable on-chain at any time. The instant sell-to-Protocol Buyback carries no marketplace fee.

You may also sell your Ticket peer-to-peer at a price you choose, or sell the NFT on any compatible external marketplace, subject to that marketplace's own terms. Liquidity and price on any secondary market are not guaranteed. There may be no buyer, or only a buyer offering far less than you paid. Ticket4Life is not a party to, and is not responsible for, any secondary sale between users or on any external platform.

12. Fees, Gas & Taxes

The only recurring economic term of the Protocol is the 80/20 Yield split, under which the Protocol retains 20% of weekly Yield. Peer-to-peer marketplace sales are subject to the on-chain fee described in Section 11. Network gas fees on Base are paid by you. Each Draw pays a Pyth Entropy fee in native ETH.

You are solely responsible for determining and paying any and all taxes, duties, levies, and similar charges that may apply to your minting, holding, transfer, sale, Buyback, or prize winnings, and for any related reporting or filing. Ticket4Life does not withhold, collect, remit, or report taxes on your behalf, and provides no tax advice. You should consult your own tax adviser about your situation.

13. Assumption of Risk & Possible Total Loss

You take part in the Protocol at your own risk and with full knowledge of the risks involved.

You may lose some or all of the amount you commit. You may recover less than you paid, or nothing at all. Only commit funds that you can afford to lose entirely.

The value of a Ticket, the availability and size of any prize, the availability and price of the Buyback, and the liquidity and price on any secondary market are all uncertain and may be zero. You acknowledge that you have assessed these risks for yourself and are not relying on Ticket4Life, the Operator, or any contributor for that assessment. This Section is a summary; you should also read the Risk Disclosure Statement, which is incorporated into these Terms by reference.

14. Smart-Contract & Protocol Risk

Blockchain-based protocols carry technical and operational risks that are outside anyone's full control, including:

  • Bugs, defects, vulnerabilities, or exploits in the smart contracts, despite testing, review, or audits; audits reduce but do not eliminate risk.
  • Network congestion, downtime, forks, re-orgs, or sequencer failures on Base or the underlying chain, which may delay, prevent, or reorder transactions.
  • Failure, delay, manipulation, or unavailability of the Pyth Entropy randomness or of any oracle or data feed relied upon by the Protocol.
  • Loss of value, underperformance, freezing, insolvency, or failure of the Yield sources, venues, or counterparties described in Section 9.
  • Irreversible user error, including sending assets to the wrong address, approving a malicious contract, signing a harmful message, or losing access to your wallet or keys.
  • Phishing, malware, fraudulent websites, or fake interfaces impersonating Ticket4Life.

You accept these risks. Transactions on the blockchain are generally final and irreversible, and Ticket4Life cannot undo them.

15. No Investment, Financial, Legal or Tax Advice

The Interface and all content provided through it are for general information and entertainment only. Nothing offered by Ticket4Life constitutes investment, financial, trading, legal, accounting, or tax advice, a recommendation, or a solicitation or offer to buy or sell any financial instrument or security.

A Ticket is a game entry and digital collectible. No profit, income, yield, or appreciation is promised or should be expected. You are responsible for your own decisions and should obtain independent professional advice where appropriate before taking part.

16. Prohibited Use

You must not use the Interface or the Protocol to:

  • Violate any applicable law, regulation, or sanctions regime, or to facilitate any unlawful activity.
  • Launder money, finance terrorism, evade taxes, or move the proceeds of crime.
  • Attack, exploit, disrupt, or attempt to gain unauthorized access to the Interface, the smart contracts, or any related system, including through the exploitation of bugs, front-running, oracle manipulation, or denial-of-service.
  • Circumvent, disable, or interfere with geographic, eligibility, cooldown, or security controls, including through VPNs, proxies, or falsified information.
  • Misrepresent your identity, eligibility, or authority, or use the Protocol on behalf of a sanctioned or ineligible person.
  • Infringe the rights of others or use the Interface in any way that could harm Ticket4Life, its contributors, or other users.

Breach of this Section is a material breach of these Terms and may be unlawful. You remain responsible for any consequences of prohibited use.

17. Intellectual Property

The Ticket4Life name, wordmark, logos, design, look and feel, and the text, graphics, and other content of the Interface are owned by, or licensed to, the contributors to Ticket4Life and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, or create derivative works from them.

The Protocol's smart contracts are open source and are made available under their respective licenses; your use of that code is governed by those licenses. Ownership of a Ticket NFT transfers ownership of the token on-chain only. It does not transfer or grant any right, title, license, or interest in the Ticket4Life name, brand, design, content, or any other intellectual property, beyond any rights expressly granted with the collectible itself.

18. Third-Party Services

The Interface and the Protocol rely on third-party services and infrastructure that Ticket4Life does not own or control, including the Base network and its sequencer, wallet providers, RPC providers, Pyth Entropy, Hyperliquid, the stablecoin venues referenced in Section 9, USDC and its issuer, block explorers, Google Fonts, and CoinGecko price data.

Ticket4Life is not responsible for the acts, omissions, availability, performance, security, fees, or terms of any third party. Your use of a third-party service is governed by that party's own terms and privacy policies, which you should review. A failure, outage, change, or discontinuation of any third-party service may affect the Interface, the Draw, prizes, the Buyback, or the value of your Ticket, and Ticket4Life has no liability for it.

19. Future Features & Tokens

Ticket4Life may reserve or develop future features and a future rewards program or utility token (referenced generically in the Interface as T4L / TICKL). Any such feature or token is not live, is not offered or sold through any public token sale, and is described only generically. Nothing in these Terms or the Interface should be read as an offer, promise, or commitment to deliver any future feature or token, or to confer any value, profit, or benefit.

Any future feature or token, if and when released, will be subject to its own separate terms and to applicable law, and carries no promise of value, utility, liquidity, or profit. Do not take part in the Protocol in reliance on any future feature or token.

20. Disclaimers

The Interface, the Protocol, and all related content and services are provided “as is” and “as available,” with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Ticket4Life, the Operator, and all contributors disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, Ticket4Life does not warrant that the Interface will be uninterrupted, timely, secure, accurate, complete, or error-free; that defects will be corrected; that the Protocol will produce any prize, Yield, liquidity, or Buyback; or that the Interface or any linked service is free of harmful components. No advice or information obtained from Ticket4Life creates any warranty not expressly stated in these Terms.

21. Limitation of Liability

To the maximum extent permitted by law, in no event will Ticket4Life, the Operator, or any of their respective contributors, developers, service providers, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity, or for any loss of funds, tokens, Tickets, prizes, or value, arising out of or relating to the Interface, the Protocol, the Draw, the Buyback, the marketplace, any Yield source, or these Terms, whether based on contract, tort, strict liability, or any other theory, and whether or not foreseeable or advised of the possibility of such damages.

Where liability cannot lawfully be excluded, the aggregate liability of Ticket4Life, the Operator, and all contributors for all claims relating to the Interface and the Protocol is limited to the greater of (a) the total fees you actually paid to the Protocol in connection with the specific transaction giving rise to the claim in the thirty days before the event, or (b) fifty US dollars (USD 50) or its equivalent. Some jurisdictions do not allow certain limitations, and to that extent the limitations in this Section apply only as far as the law allows.

22. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Ticket4Life, the Operator, and their respective contributors, developers, service providers, and affiliates from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of, or interaction with, the Interface or the Protocol; (b) your breach of these Terms or of any applicable law, regulation, or sanctions regime; (c) your violation of the rights of any third party; or (d) your taxes, filings, or reporting obligations. Ticket4Life may, at its option, assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.

23. Changes to these Terms

Ticket4Life may update or modify these Terms at any time to reflect changes in the Protocol, in applicable law, or in operational practice. The current version is published through the Interface with the “Last updated” date shown above. Material changes take effect when the updated Terms are published. Your continued access to or use of the Interface or the Protocol after the updated Terms are published constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Interface; note that on-chain interactions you have already made are irreversible and remain governed by the Terms in force when they occurred.

24. Governing Terms & Dispute Resolution

These Terms, and any dispute or claim arising out of or relating to them or to your use of the Interface or the Protocol, are governed by and construed in accordance with the general principles of international commercial law, applied in a jurisdiction-neutral manner and without reference to any conflict-of-laws rules that would require the application of another body of law.

Informal resolution first. Before commencing any formal proceeding, you agree to first contact Ticket4Life through an official channel and attempt in good faith to resolve the dispute informally. If the dispute is not resolved within thirty (30) days of that notice, either party may proceed under the arbitration provisions below.

Binding individual arbitration. Except as limited by the mandatory-rights paragraph below, any dispute, controversy, or claim arising out of or relating to these Terms, the Interface, or the Protocol, including any question regarding their existence, validity, breach, or termination, that is not resolved informally will be finally and exclusively resolved by confidential, binding arbitration administered under the Rules of Arbitration of the International Chamber of Commerce (ICC) then in force. The arbitration will be conducted by a single arbitrator, seated in Geneva, Switzerland, and conducted in the English language. The arbitrator has the exclusive authority to resolve any dispute over the interpretation, applicability, enforceability, or formation of this Section, and the arbitrator's award is final and binding and may be entered in any court of competent jurisdiction. This arbitration agreement is intended to be interpreted broadly and to survive termination of these Terms.

Class-action waiver; individual basis only. Any dispute will be resolved on a final and binding, individual basis. You and Ticket4Life each waive the right to bring or participate in any class, collective, consolidated, or representative action, and any dispute will be conducted only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. If this individual-basis requirement is found unenforceable as to a particular claim, that claim, and only that claim, will be severed from the arbitration and brought in a court of competent jurisdiction, while all other claims proceed in arbitration.

Small-value carve-out. Either party may bring an individual claim in a small-claims court or equivalent forum of competent jurisdiction, provided the claim qualifies and remains on an individual (non-class) basis.

Mandatory, non-waivable rights prevail. Nothing in these Terms excludes, restricts, or modifies any mandatory, non-waivable right or protection available to you under the consumer-protection or other mandatory laws of your place of residence. Where the mandatory law of your place of residence gives you a non-waivable right to bring proceedings before a particular court, prohibits you from being required to arbitrate, or prohibits a waiver of class or representative proceedings, that law prevails, and the arbitration agreement and class-action waiver in this Section apply to you only to the extent permitted by that law. Where such mandatory rights apply, they prevail over any conflicting provision of these Terms to the extent of the conflict, and the remainder of these Terms continues to apply. This Section is intended to preserve your non-waivable rights so that these Terms are not rendered unfair or void, while providing a neutral and enforceable framework for all other matters.

25. Severability & Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed, and the remaining provisions will continue in full force and effect. The failure of Ticket4Life to enforce any right or provision is not a waiver of that right or provision.

These Terms, together with the Privacy Policy, Cookie Policy, Risk Disclosure Statement, Legal Notice, and the on-chain disclaimer accepted at mint, constitute the entire agreement between you and Ticket4Life regarding the Interface and the Protocol, and supersede all prior or contemporaneous understandings on that subject.

Ticket4Life communicates only through its official channels and will never ask for your seed phrase, private keys, or funds. Treat any other contact claiming to be Ticket4Life as fraudulent.
